1. Object and Validity of These Terms of Service (TOS)

Welcome to Ouraca Inc.'s Terms of Service ("TOS"). These TOS establish the legal framework for using Ouraca Inc.'s services, ensuring that you understand both your rights and our obligations before using the Aibrary platform.

If you subscribe to our services for a specific period (the "Initial Term"), your subscription may automatically renew for the same duration unless canceled in accordance with the applicable terms.

(hereinafter referred to as "Aibrary") operates a platform that provides mobile reading and listening services. The platform is available through various online portals and mobile applications. Aibrary's authors summarize key insights from non-fiction books and other content into concise formats, allowing users to discover new materials conveniently on their computers or mobile devices. Additionally, users have the option to purchase content for download into their Aibrary account library.

Use of the platform is governed by these TOS, which apply in their current version at the time of registration or order and may be updated periodically. Aibrary does not recognize any conflicting general terms and conditions unless explicitly agreed to in writing.

These TOS, along with the specific terms outlined during registration, when purchasing a paid subscription, or ordering individual content, form the complete user agreement. This information is stored by Aibrary and remains accessible within your user account.

By registering, purchasing a paid subscription, or acquiring individual content, you acknowledge and accept the terms outlined in these TOS.

3. Aibrary's Services and Rights

Aibrary offers summarized key insights from books, articles, and other content ("Platform Content"), allowing users to grasp essential ideas in just a few minutes. Additionally, Aibrary may provide a personal profile feature where users can save preferred content, add text markers, and organize materials into different categories and lists. Subject to availability, users can also purchase individual content.

The scope of available Platform Content and features depends on the type of account selected. Aibrary offers different account types, including a free account, various paid subscriptions, a free trial, and individual content purchases. The license to use the Platform Content is limited to the validity period of the respective subscription. However, for individually purchased content, access remains available without a time limit, subject to specific conditions.

All rights to Aibrary's services and the content provided through the platform remain the exclusive property of Aibrary and its licensors. Platform Content is typically protected by copyright and may not be redistributed. The Aibrary software applications and Platform Content are licensed for personal use under a non-exclusive, time-limited agreement.

Aibrary's trademarks, trade names, logos, domain names, and other distinctive brand features remain the sole property of Aibrary. The license granted does not authorize the use of Aibrary's trademarks, trade names, logos, domain names, or any other distinguishing brand elements for commercial or non-commercial purposes.

4. Registering with Aibrary

To use Aibrary's services, users must register. Individuals aged 18 and older are eligible to register. Minors aged 14 and above may register with the consent of their legal representatives. Aibrary reserves the right to require proof of identity, legal age, or parental consent before granting access to its services.

Registration is free of charge and does not obligate users to purchase a subscription. By registering, users enter an agreement with Aibrary for limited, free use of the platform. If an employer has granted access to an Aibrary account, registration via the method provided by the employer will allow immediate access to all content covered under that arrangement.

Users can register using an email address and a chosen password. Alternatively, registration may be completed through certain third-party authentication services. Registration is available through the website or mobile applications.

All information provided during registration must be complete, accurate, and kept up to date. Users are responsible for maintaining the confidentiality of their passwords. The Aibrary user account is intended for personal use only, and any unauthorized access or suspicion of misuse should be reported to Aibrary immediately.

5. Executing an Agreement for a Paid Subscription

To access the full range of Aibrary's services, users can purchase additional service packages through paid subscriptions ("Subscription Access") after registering. These subscriptions are available for different durations, which are specified during the ordering process.

Aibrary's paid subscriptions provide access to additional content and features through mobile and web-based applications. During checkout, users can choose from various service packages with different scopes. If an employer provides Aibrary access, the user is generally granted access to the Aibrary Premium package, which includes standard Platform Content such as Aibrary app and website. However, the exact features available may vary based on agreements between Aibrary and the employer. Subscription access remains valid for the duration of the active subscription.

To purchase an Aibrary Premium subscription via the website, users must complete the online order form and confirm the purchase by selecting the subscription option. The contract is finalized once Aibrary sends an order confirmation by email within a reasonable time. If the subscription is purchased via Aibrary's web-based application, the confirmation email is sent immediately along with a receipt. For in-app purchases, a receipt confirmation is provided by the third-party app store, and Aibrary sends a separate order confirmation via email. The subscription officially begins on the date the confirmation is issued.

Users can also subscribe through in-app purchases on iOS or Android devices. In this case, after selecting a subscription plan within the app, a pop-up prompts the user to enter their password for the third-party app store. After completing the purchase, the app store provides a receipt confirmation. Users can cancel the process before finalizing the purchase.

6. Trials and Testing Phases

Aibrary occasionally offers free trial subscriptions ("Trial") for new users to test the service for a limited period. Participation in a Trial is granted at Aibrary's discretion, and Aibrary reserves the right to modify or discontinue Trials at any time without prior notice.

Certain Trials require users to enter payment details upon registration. In such cases, users must consent to the automatic conversion of the Trial into a paid subscription at the end of the trial period. The subscription generally renews on a recurring basis and can be canceled up to one day before the end of the subscription period. Users are clearly informed of this process before starting a Trial.

If users do not wish to continue with a paid subscription after a Trial, they must cancel their Subscription Access before the trial period ends.

Aibrary offers a 14-day money-back guarantee for subscriptions purchased via the website. However, for subscriptions acquired through in-app purchases, Aibrary has no control over refunds, and users must refer to the app store's policies regarding refund requests. Statutory claims for refunds remain unaffected.

7. Individual Purchase of Content

Occasionally, Aibrary offers users the option to purchase individual pieces of Platform Content without requiring a full subscription.

To purchase individual content, users must complete the required information in the online order form and confirm the purchase by selecting the appropriate button. By doing so, they submit a legally binding offer for a paid contract. The contract is finalized once Aibrary sends an order confirmation via email within a reasonable time. If the purchase is made through Aibrary's web-based application or an online checkout, the order confirmation and receipt will be sent by email.

Upon purchasing individual content, Aibrary grants a non-exclusive, non-transferable, non-assignable, and non-sublicensable license to download and store the content in the user's Aibrary Library for personal, non-commercial use. Users are not permitted to modify, sell, share, lease, copy, distribute, publicly perform, create derivative works, or commercially exploit the content outside of the Aibrary Library.

8. Cancellation Policy

Consumers who purchase Aibrary services for personal, non-commercial use are entitled to a statutory right of withdrawal when entering into a remote sales contract.

8.1 Right of Withdrawal

Users have the right to withdraw from the contract within 14 days without providing a reason. The withdrawal period begins on the date of contract execution.

To exercise this right, users must notify Aibrary of their decision through an explicit statement, such as a letter, fax, or email, before the withdrawal period expires.

8.2 Effects of Withdrawal

Upon withdrawal, Aibrary will refund all payments, including standard delivery costs, without undue delay and no later than 14 days from the date of receiving the withdrawal request. Refunds will be issued using the same payment method used for the original transaction unless an alternative arrangement is agreed upon. No fees will be charged for the reimbursement.

8.3 Conditions for Early Expiration of the Right of Withdrawal

The right of withdrawal expires early for digital content purchases if:

  1. Aibrary has begun providing access to the content,
  2. The user has explicitly consented to this early access and acknowledged the loss of the withdrawal right, and
  3. Aibrary has provided confirmation of this agreement along with a copy of the contract on a durable medium, such as email, before delivering the content.

For paid services, the right of withdrawal expires early if:

  1. Aibrary has fully provided the service, and
  2. The user has expressly agreed in writing to receive the service before the end of the 14-day withdrawal period, acknowledging that this waives the right to withdraw.

If a user withdraws from a service contract before its completion, they may be required to reimburse Aibrary for the value of services already provided.

8.4 Sample Cancellation Form

This form is provided in accordance with legal requirements but is not mandatory for withdrawal requests.

9. Reimbursement and Payment Methods, Promotional Offers, Compensation, and Retention Rights

Aibrary Premium subscriptions require payment, with fees due at the beginning of the subscription term or, in the case of a trial, after the trial period ends.

Occasionally, Aibrary offers discounts on paid subscriptions. These discounts typically apply only to the initial subscription term, after which the subscription renews at the standard rate unless canceled in time. The exact price is displayed during the checkout process.

Aibrary provides various payment options specified during the ordering process. Users may also redeem an Aibrary Gift Card for payment. When subscribing through iOS or Android apps, payments are processed through Apple's or Google's in-app purchase system.

Users cannot offset their own claims against Aibrary's claims unless such counterclaims are legally confirmed or undisputed. Users may also offset claims if they relate to the same agreement and involve complaints regarding defects. Retention rights may only be exercised if the counterclaim arises from the same contract.

10. Third-Party Links and Advertising

Aibrary's services may include links to external websites, advertisers, and services not controlled by Aibrary.

Aibrary does not endorse or assume responsibility for the content, products, or services provided by third parties. If users access third-party websites or services, Aibrary's Terms of Service and Privacy Policy no longer apply. Aibrary is not liable for any damages or losses resulting from interactions with third-party content.

As part of providing free services, Aibrary may display promotional content. Some paid services may also include sponsored content developed in collaboration with other companies.

11. Term and Cancellation

11.1 Basic Account

A Basic Account begins upon registration and continues indefinitely. Both the user and Aibrary may cancel it at any time.

11.2 Paid Subscription

Paid subscriptions run for the selected initial term and automatically renew for the same duration unless canceled at least 24 hours before the renewal date.

The cancellation takes effect at the end of the current subscription period, after which the account is downgraded to a Basic Account. Users who purchase a new subscription can regain access to their previous status and readinglists.

If users wish to delete their entire account, they can do so through the web app settings, which will permanently remove their data.

Aibrary retains the right to block or cancel accounts for significant reasons, regardless of the provisions mentioned above.

12. Gift Cards and Special Offers

If you have an Aibrary gift card that grants access to an Aibrary Premium subscription for a specified period, you are entitled to use the platform for the duration stated in the accompanying email, card, or receipt.

To redeem a gift card, users must first register with Aibrary and then activate the code provided on the gift certificate.

Gift cards and promotional codes cannot be exchanged for cash, refunded, transferred, or used to purchase other codes. Additional terms may apply when using a gift card or special offer.

Once the designated period ends, subscription access will automatically expire, and the account will be downgraded to a free version. Users who wish to continue their subscription can purchase a new plan at any time. If an account needs to be permanently deleted, this can be done through the settings, which will result in the irreversible removal of all data.

13. Liability

Aibrary is not responsible for damages, except in cases involving fatal injuries, physical harm, health-related damage, or breaches of essential contractual obligations.

Essential contractual obligations refer to those fundamental to the proper execution of the agreement, upon which users can reasonably rely. If these obligations are breached due to negligence, Aibrary's liability is limited to typical and foreseeable damages, unless the claim involves injury or health-related harm.

These liability limitations also apply to Aibrary's affiliates and legal representatives if claims are made directly against them.

14. Data Protection

When users access the platform, Aibrary processes their personal data in accordance with applicable regulations.

15. Changes to Terms and Conditions

Aibrary reserves the right to modify or supplement these Terms of Service in the future, provided that such changes are reasonable and take Aibrary's interests into account.

If material changes to these Terms of Service are made, Aibrary will notify users via email or through prominent notifications within our platform at least 14 days prior to the changes taking effect, unless immediate updates are required due to legal obligations.

If users do not object within four weeks of receiving the notification, the new terms will be considered accepted.

16. Final Provisions

If any provision of these Terms of Service is deemed invalid, the remaining terms will remain in effect. Statutory regulations will apply in place of the invalid provision.
